Kellianne E. Greenwood, a partner at Stern, Kilcullen & Rufolo LLC, focuses her practice on business law and contract negotiation.

 

As a seasoned mergers and acquisitions attorney, Kellianne structures, negotiates, documents and closes on purchases and sales of business assets and stock, joint ventures, corporate restructurings, private offerings, equity financing, and shareholder agreements. Her expertise also includes employment, consulting, vendor, supply, licensing, services, distribution and other arrangements. For middle market companies and start-up entrepreneurs, Kellianne provides day-to-day business counseling, including formation of business entities. She represents borrowers and lenders in financing transactions. She also has experience in commercial real estate, including acquisitions and leasing of commercial and industrial properties, and trademark registration, licensing and other transactions.

 

Kellianne has represented clients in the cosmetic, apparel, consumer goods, manufacturing, gaming, healthcare, companion animal and pharmaceutical industries. Her approach is strategic and individualized, with a view to manage risk and achieve each client's business objectives.

 

From 2017-2021, Kellianne was the Executive Secretary, Chair of Corporate Governance and a director of Raritan Valley Habitat for Humanity. She is a member of the Somerset County Business Partnership.

 

Kellianne received her J.D. degree from Tulane Law School. She received her B.A. in Communications and Russian from Loyola University and lived in Moscow, Russia while doing coursework for a master's degree in Russian literature and linguistics. She is admitted to practice law in New Jersey, New York and Connecticut.
